State registration is made according to the application principle on the day of
submission of documents. As a rule, the creation of a business entity takes place in
several stages.
Pre-registration stage.
Before submitting the necessary documents to the registration authority, the
founders of the created organization must:
1) coordinate with the registering body of the organization the name of the
organization. 2) determine the location of the organization in view of the
requirements of paragraph 5 of the Regulations on Registration;
decide on the creation of an organization, draw up a charter (memorandum
of association).
It should be noted that the statutory fund can be formed within a year by the time
of state registration, it can only be declared in the constituent documents and in the
application.
Registration stage.
Transfer of documents to the registration authority for registration.
There are 2 forms of submission:
1) submission of documents by personal appeal;
2) in the form of electronic documents. Registration is carried out using the USR
web portal (http://egr.gov.by) and is valid throughout the country.
Types of documents submitted for state registration are contained in paragraph 14
of the Regulations on registration.
Pay attention! Reclamation of other documents is prohibited.
Further, the registration authority shall accept the submitted documents, as well as
consider the composition of the documents and the content of the application for
state registration.
Actions certifying state registration:
1) an authorized employee of the registering authority on the day of submission
of documents:
– affix a stamp on the charter (memorandum of association), hand over 1
copy of the charter (memorandum of association) to the person who
provided it, and enter a state registration record in the USR;
– submits to the Ministry of Justice of the Republic of Belarus the necessary
information for the inclusion of business entities in the USR;
2) a certificate of state registration is issued no later than the working day
following the day of submission of documents
3) within 5 working days from the date of entry in the USR registration authority
shall issue a document proving registration with the tax authorities, the state
statistics bodies, bodies of the Social Security Fund, registered in the
"Belgosstrakh".
A record is made on the inclusion in the USR of a business entity by the Ministry
of Justice of the Republic of Belarus.
The grounds for refusal of state registration are:
failure to provide all necessary documents
violation of the requirements of the law when making a statement
submission of documents to the wrong authority.
It should be noted that the list is closed, with the exception of cases when a citizen
applied for state registration as an SP, if the SP is not excluded from the USR. In
this case, re-state registration is not allowed.
